Thoma Bravo To Combine HCSS With Nemetschek Build & Construct Segment To Create Global Construction Technology Leader

Thoma Bravo announced it has entered into a definitive agreement to combine HCSS with the Build & Construct segment of Nemetschek Group, forming a global construction technology platform.

Under the terms of the agreement, Nemetschek will hold approximately 72% ownership of the Build & Construct segment, while funds managed by Thoma Bravo will retain a 28% minority stake. The transaction is expected to close in the second half of 2026, subject to regulatory approvals and customary closing conditions.

The combined business will bring together complementary technologies, customer bases, and geographic strengths, positioning the platform to capitalize on long-term industry trends such as infrastructure modernization, government investment, energy transition, and urbanization. HCSS will join a portfolio of established brands within Nemetschek’s Build & Construct segment, including Bluebeam, GoCanvas, and Nevaris.

During Thoma Bravo’s ownership, HCSS expanded its platform capabilities, strengthened leadership, and advanced key products such as HeavyBid and HeavyJob, while entering adjacent markets including utilities. The company’s solutions are widely used across infrastructure projects and have helped customers increase bidding efficiency and win rates.

The combined platform is expected to deliver an end-to-end construction software ecosystem spanning the full project lifecycle, enhancing collaboration between office and field teams and accelerating AI-driven innovation across design, planning, and execution workflows.

Support: Advisors on the transaction include Kirkland & Ellis LLP as legal advisor and Deutsche Bank, Citigroup, and Centerview Partners as financial advisors to Thoma Bravo. Latham & Watkins and Hoffmann & de Vries are serving as legal advisors to Nemetschek, with J.P. Morgan acting as exclusive financial advisor.
