TIC Holding Schweiz Acquires HSE Conseils, Expanding Swiss TIC Platform In Construction Safety

TIC Holding Schweiz AG, a buy-and-build platform backed by Winterberg Investment X and managed by Winterberg Advisory GmbH, has acquired HSE Conseils SA, a Laténa (Neuchâtel)-headquartered specialist in construction-related pollutants, environmental services, and occupational health and safety with six additional locations across Switzerland.

The deal adds a sizable French-speaking Switzerland footprint to the group, with HSE Conseils operating additional sites in the cantons of Vaud, Valais, Geneva, Fribourg, and Jura. Founder and former owner Marc Dutoit is reinvesting at the holding level as part of the transaction and will remain chief executive officer of HSE Conseils.

Founded nearly two decades ago, HSE Conseils provides services spanning pollutant diagnosis and analysis—particularly asbestos, PCBs, and lead—along with environmental and waste management support, occupational health and safety concepts (MSST), and training. The company also operates an in-house laboratory accredited by the Swiss Accreditation Service (SAS), which it uses to support compliance-focused testing and documentation for clients ranging from construction companies and property managers to planners, private enterprises, and public institutions.

TIC Holding Schweiz said the acquisition strengthens its position as an independent Swiss group in accredited testing, inspection, and certification-related services. With HSE Conseils added to the portfolio, the group said it now covers three core platforms across Switzerland: industrial services, construction materials, and construction safety/environment/occupational health and safety. The group also reiterated plans to advance more efficient and transparent processes through digitalization and artificial intelligence, with additional acquisitions under discussion as it pursues broader nationwide coverage.

Winterberg Advisory, which manages private equity funds focused on succession solutions in the small and mid-cap segment, said TIC Holding Schweiz will continue to target small and medium-sized businesses in accredited testing and calibration services, particularly in construction, infrastructure, industrial metrology, and materials testing.
