The acquisition was completed through an affiliate of TJC, which described the transaction as an all-equity acquisition. The companies did not disclose the total purchase price.
Following completion of the merger, trading in Luna’s common stock on the OTC Expert Market was suspended. Luna will now operate as a privately held company under TJC’s ownership, with access to the investment firm’s financial resources, industrial expertise, and operational experience.
Headquartered in Blacksburg, Virginia, Luna develops advanced fiber optic-based testing, measurement, and sensing technologies. Its products are used by customers in data centers, semiconductors, aerospace, defense, telecommunications, energy, automotive, utilities, scientific research, and infrastructure.
The company’s technology supports applications requiring precise measurements and monitoring across complex industrial and technology environments. Its fiber optic solutions help customers obtain information needed to evaluate equipment performance, support manufacturing processes, and monitor critical infrastructure.
Luna maintains facilities across North America and internationally, providing products and services to customers operating in multiple geographic markets.
The acquisition provides Luna with a new financial sponsor as it seeks to expand its operations and respond to growing customer demand.
TJC plans to support additional investment in Luna’s technology, product portfolio, and business operations, with an emphasis on strengthening its ability to serve existing customers while supporting future growth.
The investment firm’s experience across industrial technology and digital infrastructure aligns with several of Luna’s principal end markets.
In particular, Luna’s exposure to data centers, semiconductors, telecommunications, and other technology-intensive industries provides opportunities for continued product development as customers invest in increasingly sophisticated infrastructure and measurement capabilities.
The company’s products also serve aerospace, defense, and energy customers, providing exposure to markets where specialized sensing and measurement technologies support demanding operating environments.
Under TJC’s ownership, Luna intends to build on its existing technical capabilities and customer relationships while expanding its ability to develop and deliver advanced fiber optic products.
Kevin Ilcisin, President and CEO of Luna, will continue working with the company’s management team as it enters its next phase of development.
TJC intends to invest alongside that leadership team, providing resources to support the expansion of Luna’s business and advancement of its product portfolio.
The acquisition also extends TJC’s investment activities in industrial technology and infrastructure-related businesses.
Formerly known as The Jordan Company, TJC manages approximately $31.3 billion in assets as of June 30, 2026. The investment firm has more than 40 years of experience partnering with executives, founders, and entrepreneurs across a range of industries.
Its investment activities span diversified industrials, industrial technology, logistics and business services, digital and power infrastructure, healthcare, and consumer businesses.
TJC’s senior leadership team has invested together for more than 24 years across over 90 investments, providing experience supporting companies through operational development and growth initiatives.
The firm maintains offices in New York, Chicago, Miami, and Stamford.
For Luna, the acquisition establishes a partnership with an investment firm whose industry coverage includes several of the markets served by its fiber optic measurement and sensing technologies.
TJC intends to use its industrial and financial experience to support Luna’s management team as the business scales its operations, advances its products, and responds to evolving customer requirements.
The completed transaction concludes the acquisition process announced in June and marks Luna’s transition from a publicly traded company to private ownership.
