TPG: $1.1 Billion Acquisition Of Sabre’s Hospitality Solutions Business Completed

Leading hospitality technology provider Hospitality Solutions has announced the completion of its acquisition by TPG from Sabre. This marks a new chapter for Hospitality Solutions as a standalone company with enhanced operational focus, agility, and resources, positioning it as the core technology platform for hotels globally.

The deal is valued at $1.1 billion, with net proceeds of $960 million after taxes and fees. This acquisition supports Sabre’s efforts to transform its business by reducing debt and focusing on sustainable growth. Most of the proceeds will be used to pay down debt, thus reducing the company’s net leverage. Based in Southlake, Texas, Sabre is a leading technology firm in the travel industry, serving clients in over 160 countries.

TPG acquired Hospitality Solutions through TPG Capital, its large-scale private equity platform operating in the U.S. and Europe. Following the completion of the transaction, Hospitality Solutions has also received a strategic minority investment from MCR, the third-largest hotel owner-operator in the United States. This partnership will bring additional specialized expertise in hospitality, and MCR’s Chairman and CEO, Tyler Morse, will join the company’s Board of Directors as Vice Chairman.

Hospitality Solutions provides integrated software and solutions that enable over 40% of the world’s leading hotel brands to optimize their distribution, operations, retailing, and guest experiences effectively.

Hospitality Solutions has also appointed Teresa Mackintosh as its Chief Executive Officer. Mackintosh has a strong track record of leadership and growth in global enterprise software, having successfully scaled multiple SaaS companies through innovation, operational excellence, and a customer-centric approach.

Mackintosh most recently served as CEO and then Executive Chair of Trintech, a global enterprise SaaS company. During her tenure, she led Trintech through a transformative growth phase, tripling the company’s revenue and expanding its customer and employee base through a combination of organic growth and strategic acquisitions. She has also held the positions of President and CEO of Wolters Kluwer Tax and Accounting for the U.S. and Managing Director at Thomson Reuters. Additionally, Mackintosh has served on the boards of several leading public and private software businesses.
