Trace3 has agreed to acquire Calian Group’s U.S. Commercial IT operations through a carve-out transaction, expanding its managed services, infrastructure, and technology delivery capabilities across the U.S. The acquisition is expected to close next month, subject to customary closing requirements.
The transaction will add localized talent in Texas and Minnesota to Trace3’s organization while bringing additional managed services infrastructure onto its platform.
The acquired assets and capabilities include a security operations center, two 24x7x365 network operations centers and advanced integration centers.
These capabilities will strengthen Trace3’s ability to provide continuous monitoring, infrastructure management and technical support for enterprise customers with complex technology environments.
Security operations centers are designed to monitor and respond to cybersecurity events, while network operations centers provide ongoing oversight of networks and infrastructure.
The addition of two round-the-clock network operations centers gives Trace3 additional capacity to support customers requiring continuous availability and technical monitoring.
The advanced integration centers can also support the configuration, testing and deployment of technology systems before they are installed in customer environments.
The combination will broaden Trace3’s service offering across software, hardware, consulting, professional services and managed services.
The company expects particular benefits across artificial intelligence, cloud, data and cybersecurity, areas where enterprises continue increasing technology investment.
Trace3 and Calian’s U.S. Commercial IT operations also have overlapping expertise across data centers, networking and Cisco technologies.
That overlap could help simplify integration while increasing the scale of the combined technical organization.
The acquisition gives Trace3 an opportunity to add experienced personnel and established operational infrastructure without building those capabilities entirely from the ground up.
That can be particularly valuable in managed services, where customers often require reliable 24-hour monitoring and support before entrusting a provider with critical infrastructure.
The transaction also reflects the continued convergence between technology consulting and ongoing managed services.
Enterprise customers increasingly look for partners capable of helping design technology strategies, implement systems and then manage those environments after deployment.
By adding Calian’s U.S. Commercial IT operations, Trace3 will be able to expand the amount of the technology lifecycle it supports.
The company can combine advisory and professional services with infrastructure delivery and ongoing monitoring across cloud, networking, security and data center environments.
Artificial intelligence is also creating additional demand for infrastructure expertise as companies evaluate the compute, networking, data and security requirements associated with new AI workloads.
Cloud and data modernization projects similarly require organizations to coordinate multiple systems rather than purchasing individual products in isolation.
Trace3’s broader platform is designed to address those needs through a combination of consulting, technology products and managed services.
The carve-out structure means Trace3 is acquiring a specific portion of Calian Group’s operations rather than the entire company.
Transactions of this type can require the separation of employees, systems, customer relationships and operating infrastructure from the seller’s broader organization.
Once completed, the acquired U.S. Commercial IT operations will become part of Trace3’s platform.
The additional presence in Texas and Minnesota should also strengthen Trace3’s local delivery capabilities in those markets.
Having technical personnel closer to customers can be important for infrastructure projects that require on-site installation, integration or support.
The security and network operations centers, meanwhile, can provide centralized services to customers across a much broader geographic footprint.
With the acquisition, Trace3 is expanding both its human capital and its operational infrastructure while deepening capabilities in several of the fastest-growing areas of enterprise technology.
The combination is expected to give the company greater scale across managed services, cybersecurity, cloud, data centers, networking and AI-related infrastructure as organizations continue modernizing their technology environments.
