TransDigm Group announced it has entered into a definitive agreement to acquire Stellant Systems, Inc., a portfolio company of Arlington Capital Partners, for approximately $960 million in cash, including certain tax benefits.
Stellant, headquartered in Torrance, California, designs and manufactures high-power electronic components and subsystems used across aerospace and defense platforms. TransDigm said Stellant’s products are highly engineered and largely proprietary, with roughly half of the company’s revenue coming from the aftermarket and nearly all revenue generated from proprietary products.
TransDigm expects Stellant to generate about $300 million in revenue for the calendar year ending Dec. 31, 2025. Stellant employs approximately 950 people and operates manufacturing facilities in Torrance, California; Williamsport, Pennsylvania; Melville, New York; and Topsfield, Massachusetts.
Mike Lisman, TransDigm’s chief executive officer, said Stellant’s proprietary, aftermarket-heavy product mix aligns with TransDigm’s acquisition strategy and adds new products and services to the company’s portfolio. The transaction is subject to U.S. regulatory approvals and customary closing conditions.
TransDigm, through its wholly owned subsidiaries, designs and supplies highly engineered aircraft components used across commercial and military aircraft, with offerings spanning airframe and engine systems and components, cockpit and cabin products, and electronic and testing solutions.
