Traws Pharma has structured up to $50 million of potential additional financing around specific regulatory and clinical milestones for its influenza program, directly connecting future capital availability to progress with tivoxavir marboxil and its planned Phase 2a human influenza Challenge study.
The financing follows an April 2026 private placement that generated $10 million of upfront proceeds. The structure includes three warrant tranches that could provide another $50 million if the applicable conditions are achieved and investors participate.
The first Series A warrant tranche could provide $10 million and becomes exercisable upon approval by the U.K. Medicines and Healthcare products Regulatory Agency of the planned influenza Challenge study. The Series B tranche could provide another $10 million following announcement of data from that study, while the Series C warrants could provide up to $30 million.
Shareholders approved the Series B and Series C tranches on July 8, satisfying one of the financing conditions. Access to those funds still depends on achieving the applicable program milestones, sequential exercise of earlier tranches and investor participation, so the full $50 million is not committed capital.
The nearest regulatory catalyst is an MHRA resubmission. Following feedback on the proposed Phase 2a human influenza Challenge study, Traws is preparing a revised toxicology package and expects to resubmit it by the end of Q3 2026. If accepted, the trial is planned in healthy volunteers at hVIVO in the U.K.
The U.S. development path is progressing separately. The FDA has placed the tivoxavir marboxil IND on clinical hold because of concerns involving the toxicology package. Traws is preparing a comprehensive response and is targeting resolution of the hold and advancement of the U.S. program by the end of 2026.
Traws ended June with $5 million of cash and equivalents, up from $3.8 million at year-end. Management believes existing cash and anticipated ATM proceeds can support planned operations into Q1 2027, but the company cautioned that it may require additional financing to support operations after that point.
The company generated no revenue during Q2 or the first half of 2026, compared with $2.7 million and $2.8 million, respectively, in the comparable 2025 periods. This makes the milestone-linked financing particularly relevant because the company’s near-term capital needs are being funded through financing rather than operating revenue.
Tivoxavir marboxil is an investigational oral CAP-dependent endonuclease inhibitor being developed as a potential single-dose prophylactic for seasonal influenza and potentially pandemic or bird flu. Traws said preclinical studies have demonstrated activity against multiple influenza strains, including an H5N1 isolate.
