Troutman Pepper Locke has added Mac Marshall as a partner in its Energy Transactional Practice Group. Based in Houston, Marshall brings approximately two decades of experience advising on upstream, midstream and international energy transactions collectively valued at more than $17 billion.
Marshall joins the firm from Norton Rose Fulbright. His addition strengthens Troutman Pepper Locke’s capabilities in Houston, one of the world’s most active markets for oil, gas, infrastructure and energy financing transactions.
Marshall advises clients on acquisitions and divestitures involving producing and non-producing oil and gas properties. His experience also covers the purchase, sale, construction and financing of pipelines, gathering systems and storage facilities.
Upstream transactions generally involve the exploration and production of oil and natural gas. Midstream matters focus on the infrastructure used to gather, process, transport and store those resources.
Marshall also negotiates commercial agreements supporting energy operations. These include gathering, processing and treating contracts, production handling agreements, master service agreements, hedging arrangements and seismic data licenses.
His practice includes agreements based on standards developed by the North American Energy Standards Board. These contracts are frequently used to structure transactions across the natural gas and broader energy markets.
Marshall is board certified in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization. He also advises lenders and borrowers on conventional financing, mezzanine financing, reserve-based lending and revolving and term credit facilities.
Reserve-based loans are commonly used by oil and gas companies and are secured by the value of their energy reserves. The borrowing capacity under these facilities can change as commodity prices, production levels and reserve estimates evolve.
Marshall’s addition follows the recent arrival of Allison Perlman. Troutman Pepper Locke said the hires reflect a deliberate effort to expand its capabilities across complex energy transactions.
The firm advises electric utilities, independent power producers, financial institutions and upstream and midstream companies. Its clients also include private equity firms, service providers and other corporations involved in traditional and emerging energy markets.
