Uniper To Sell 20% OPAL Gas Pipeline Stake To Hy24

Uniper has agreed to sell its 20% interest in the OPAL gas pipeline to hydrogen investment firm Hy24 as the European energy company continues fulfilling divestment requirements associated with its state-supported stabilization. Financial terms of the transaction were not disclosed.

Hy24 is acquiring the stake through its Clean Hydrogen Infrastructure Fund.

The transaction will be completed through the sale of 100% of Lubmin-Brandov Assets GmbH & Co. KG, which owns Uniper’s 20% co-ownership interest in OPAL.

GASCADE Gastransport holds the remaining 80% interest in the pipeline.

The divestment is one of the structural remedies Uniper is required to complete under European Union state aid rules.

The European Commission approved a stabilization package for Uniper in December 2022 and required the company to undertake several structural remedies as part of that approval.

Uniper said the transaction also supports its effort to align its portfolio more closely with its strategic core businesses.

OPAL is one of Europe’s largest natural gas transmission corridors.

The pipeline extends approximately 470 kilometers from Lubmin in Germany to Brandov near the Czech border.

The asset is also becoming part of Germany’s emerging hydrogen infrastructure.

The northern section of OPAL was converted for inclusion in Germany’s hydrogen core network in December 2025, while the southern section is expected to follow by the end of 2030.

That hydrogen conversion adds a strategic dimension to Hy24’s acquisition.

Hy24 invests across hydrogen infrastructure, technology and industrial projects intended to support the development of a climate-neutral hydrogen economy.

Completion of the transaction remains subject to regulatory approvals and the non-exercise of a pre-emption right held by the other fractional owner.

Uniper has approximately 7,000 employees and 18.5 gigawatts of power generation capacity.

The company is also a major European gas trader, LNG importer and operator of gas storage and hydropower assets.
