United Energy Corporation announced the acquisition of Alkane Modus Vis Inc and the subsequent purchase of assets from Alkane Midstream in a transaction valued at approximately $31 million. The deal, which became effective on April 30, 2026, was structured through a combination of cash, assumed debt, seller financing, and equity consideration.
The acquisition significantly expands United Energy’s Energy Fulfillment™ platform by adding a fully operational 100,000-gallons-per-day LNG production facility in Seminole, Texas, along with integrated LNG infrastructure, distributed power generation assets, logistics equipment, and operating contracts. The combined business is positioned to serve industrial, oilfield, and data infrastructure customers throughout North America.
Following the transaction, the company’s operations span key markets in Arizona, Kansas, Montana, Nevada, North Dakota, Oklahoma, and Texas. United expects annualized 2026 revenue of approximately $15 million to $20 million and is targeting EBITDA margins of around 30%.
As part of the acquisition, Alkane’s operating team will remain with the business and continue overseeing field operations, customer execution, LNG logistics, and distributed power deployments. The team brings more than a decade of LNG operational experience to the combined organization.
United said the platform has delivered more than 120 million gallons of LNG and over 750 million kilowatt-hours of distributed energy across North America. The company also plans to expand LNG production capacity at its Seminole facility by an additional 150,000 gallons per day to meet growing demand from data centers, aggregates, aerospace infrastructure, oilfield electrification, and other commercial and industrial energy users.
The company believes its modular and localized Energy Fulfillment™ model offers a faster alternative to traditional utility infrastructure projects and large-scale LNG export developments, enabling customers to deploy mission-critical energy solutions more quickly.
KEY QUOTES:
“This transaction is a major step forward for United Energy. We are building a platform capable of delivering fuel, logistics, regasification, and power generation through one accountable team. Customers across North America — from industrial operators to data infrastructure developers — cannot afford to wait years for utility infrastructure. We believe demand for reliable distributed energy solutions will continue accelerating, and we can deliver them wherever they may be using clean, abundant natural gas.”
Brian Guinn, Chief Executive Officer, United Energy Corporation
“The biggest part of this deal is the people. The Alkane team built this platform in the field — one customer, one project, and one hard lesson at a time. We are not slowing down after this transaction. We are joining United to execute on a much larger opportunity in distributed energy.
Most companies talk about distributed power. We built a business around fulfilling energy end-to-end — fuel, logistics, regasification, and power. That model is scaling because customers need real execution, not more promises.
We see major opportunity ahead through additional liquefaction capacity, expanded logistics infrastructure, and future power deployments. The Seminole platform provides a strong operational foundation for continued growth while also positioning the Company for future opportunities in data center demand and high-purity natural gas fuel applications in emerging aerospace energy markets.”
Ryan Blazei, President, Alkane
