VDL Groep Acquires Sintecs To Expand High-End Electronics Capabilities

VDL Groep has acquired Sintecs, a Hengelo-based electronics design specialist, as it pushes to deepen its in-house electronics capabilities and broaden its “one-stop-shop” offering spanning mechanics, software, and electronics. The deal adds a 75-person team and a portfolio that spans complex digital electronics design, production support, and cybersecurity-focused products marketed under Sintecs’ Scalys brand.

Founded in 2000, Sintecs—short for Signal Integrity Consultancy Services—designs and develops high-end electronics, including printed circuit boards, embedded software, and hardware, for complex applications across telecommunications, automotive, medical, energy, and defense markets. The company employs roughly 50 people in Hengelo and 25 in Vilnius, Lithuania, and reported 2025 revenue of €8.5 million.

VDL said the acquisition strengthens its competencies in electronics development and production support, including early coordination between design and manufacturing to improve manufacturability and testability. Sintecs’ expertise in areas such as signal and power integrity analysis and system validation is positioned as particularly relevant to high-tech, cybersecurity, and defense programs, which align with VDL’s existing activities.

The purchase builds on VDL’s earlier electronics expansion through acquisitions of TBP Electronics in 2020 and Rena Elektronica in 2023. VDL expects the combined electronics organizations—VDL TBP Electronics, VDL Rena Elektronica, and Sintecs—to collaborate more closely on design-for-manufacture practices intended to deliver cost-efficient, high-quality electronics that are easier to scale in production.

Sintecs also offers its Scalys product line, including the TrustBox Edge, a cyber-secure network solution designed for critical environments where system reliability and cybersecurity are essential. The company said the TrustBox won a top innovation award at CES in Las Vegas in 2019.

As part of VDL Groep, Sintecs will continue as a technology partner in electronics design, embedded software, and PCB design and analysis, contributing to complex, integrated projects within the group.
