Vena To Acquire Morpheo AI To Advance Vena Omega Finance AI Platform

Vena Solutions has entered into a definitive agreement to acquire Morpheo AI, an enterprise agentic data platform that prepares and structures fragmented business information for artificial intelligence applications.

The transaction remains subject to customary closing conditions. Vena is acquiring Morpheo AI’s technology and team to advance Vena Omega, a cumulative context engine designed to support company-specific AI capabilities for finance and business performance.

Morpheo AI’s technology curates, structures and enriches enterprise data so AI systems can understand and use information that may otherwise remain divided across applications, databases and business functions.

Vena plans to use these capabilities to help finance teams reduce decision latency, which the company defines as the time between identifying a change in business conditions, making a decision and taking action.

Although AI can surface financial insights quickly, organizations may still struggle to act on them when the underlying data is incomplete, inconsistently defined or disconnected from established approval processes.

Vena argues that speed alone is insufficient in finance. AI-supported decisions also require accurate numbers, governed workflows and the ability to trace an answer or recommendation back to its source.

Vena Omega is designed to provide that foundation by bringing together an organization’s data with the definitions, assumptions, business drivers, calculations, approvals, relationships and historical decisions that give the information meaning.

The platform uses governed data and deterministic business logic to help Vena AI understand how a specific organization plans, measures performance and makes decisions.

Deterministic business logic refers to defined calculations and rules that produce consistent results. This is particularly important in financial planning, where users must be able to verify how forecasts, variances and recommendations were generated.

Vena said the resulting AI is intended to operate more like an experienced financial analyst who understands both the numbers and the business logic behind them.

Its understanding can deepen as customers create plans, review variances, run scenarios, make corrections and approve decisions. This enables relevant context to accumulate rather than requiring the AI to relearn the business during every interaction.

The cumulative context can include information about the individual user and their role, how the customer has configured Vena, the organization’s planning structures and calculations, and how the business operates.

It may also incorporate outside factors such as seasonality, interest rates and currency exchange rates.

Each forecast, scenario, close activity and approved decision can contribute to a growing body of institutional knowledge that informs future work.

Vena expects this foundation to help its AI prepare data, detect changes, conduct analysis and draft recommendations that better reflect the customer’s specific operating environment.

The proposed acquisition follows Vena’s purchase of Acterys earlier in 2026. That transaction expanded the company’s financial and operational planning capabilities within the Microsoft ecosystem.

Vena provides Microsoft-native planning and decision-making technology across Excel, Power BI, Azure and Fabric.

Acterys enables organizations to connect operational and financial information, build governed planning models in Power BI and write approved decisions back into enterprise systems.

Morpheo AI’s technology is expected to strengthen the data and cumulative context foundation across both Vena and Acterys.

For Acterys customers, the combination could support more intelligent operational applications and future agentic workflows grounded in governed enterprise data.

This may give IT and data teams a way to introduce AI while continuing to use their existing Microsoft architecture, governance standards and investments.

Vena expects its cumulative context foundation to support several categories of AI-enabled financial work.

These include more efficient planning setup, data preparation, scenario modeling and forecast updates.

The technology could also proactively detect variances, explain performance drivers and recommend actions before financial plans move off course or opportunities are missed.

In areas where precision and oversight are required, AI may generate analysis, recommendations or calculation logic while Vena connects reviewed and approved work to workflows, audit trails and enterprise systems.

Future agents could help finance and business leaders evaluate options and move from insight to action while remaining grounded in planning logic, close processes and accumulated business context.

Vena said finance professionals will remain in control of AI-supported work.

The company’s approach is based on human oversight, governed data and deterministic logic. AI can perform more of the repeatable work behind planning, data preparation, analysis and financial close, but finance leaders will review recommendations, approve work and direct final outcomes.

Vena Omega is intended to support greater autonomy where appropriate without removing the governance, auditability and control required for financial processes.

Customers are not expected to experience immediate changes to their Vena products, commercial agreements or support relationships as a result of the announcement.

Additional information about the integration of Morpheo AI’s technology is expected after the acquisition closes. Acterys customers are also not expected to experience immediate changes to their current product or support arrangements.
