Venu Holding Corporation has secured a $25 million financing facility to support construction of the Regent Bank Amphitheater in Broken Arrow, Oklahoma.
The premium live entertainment venue is being developed outside Tulsa and is expected to open in fall 2026 with seating for approximately 12,500 people.
The financing serves as a bridge to VENU’s previously announced Commercial Property Assessed Clean Energy permanent financing, which the company expects to close during the third quarter of 2026.
VENU said the bridge facility allows construction to continue without delay while maintaining a capital strategy intended to reduce shareholder dilution.
The company received $12.5 million in gross proceeds at closing. An additional $12.5 million, before fees and expenses, is expected to be released after certain closing conditions are satisfied.
The financing was structured as a secured convertible debenture.
VENU expects to repay the debenture in cash. However, the lender may convert it into shares of VENU common stock in circumstances that do not involve a payment failure or event of default.

Regent Bank Amphitheater is part of VENU’s growing portfolio of entertainment properties across Colorado, Georgia, Oklahoma, Tennessee and Texas.
The company’s brands include Ford Amphitheater, Sunset Amphitheaters, Phil Long Music Hall, The Hall at Bourbon Brothers, Bourbon Brothers Smokehouse and Tavern, Aikman Owners Clubs and Roth’s Sea & Steak.
VENU is also working with partners including AEG Presents, Aramark Sports + Entertainment, Tixr, Billboard, Boston Common Golf, Troy Aikman, Niall Horan and Dierks Bentley.
