Veralto: GlobalVision Acquisition To Expand AI Powered Packaging Compliance Solutions

Veralto announced it has entered into a definitive agreement to acquire GlobalVision, strengthening its packaging workflow capabilities and expanding its AI-driven quality and compliance solutions. The acquisition builds on a decade-long partnership and will integrate GlobalVision into Veralto’s Esko business to enhance source-to-shelf digital packaging workflows.

GlobalVision specializes in AI-augmented quality and compliance technology used by pharmaceutical and consumer packaged goods companies to ensure packaging accuracy and regulatory adherence. By embedding GlobalVision’s capabilities into Esko’s platform, Veralto aims to help customers accelerate time-to-market while reducing costly packaging errors.

The transaction reflects Veralto’s strategy of targeted, synergistic acquisitions that enhance its core platforms. GlobalVision’s technology will serve as a compliance backbone within Esko’s end-to-end packaging ecosystem, enabling customers to verify content accuracy at every stage of production.

Financially, GlobalVision has demonstrated strong growth, with a compound annual growth rate of about 19% since 2023. The company is expected to generate approximately $25 million in revenue in 2026, with around 85% recurring. Its adjusted EBITDA margin is projected at roughly 30%. The acquisition price represents about 15x the estimated adjusted EBITDA of $13 million, including expected cost synergies. The transaction is expected to be neutral to Veralto’s adjusted EPS in 2026 and accretive in 2027, with return on invested capital projected to exceed the company’s cost of capital by year three.

Separately, Veralto repurchased approximately 3.2 million shares for about $300 million during the first quarter of 2026, representing roughly 1.3% of its outstanding shares.

Veralto, headquartered in Waltham, Massachusetts, generates approximately $5.5 billion in annual revenue and focuses on water and product quality solutions globally. GlobalVision, founded in 1990 and based in Montreal, provides AI driven inspection technology for packaging content across text, graphics, barcodes, color, and other elements, serving customers in more than 100 countries.
