Veremark, a London-founded workplace trust technology company, is preparing a £6 million secondary share sale on the London Stock Exchange’s Private Securities Market, providing an opportunity for employees and early investors to sell shares without requiring the company to pursue an initial public offering.
The transaction is associated with an enterprise valuation of $100 million and will be managed by Crowdcube, with Singer Capital Markets also participating as a registered auction agent.
Veremark is set to become the third company to use the London Stock Exchange’s Private Securities Market for an employee and early investor share sale, following transactions involving British technology companies Wayve and Moneybox. According to the announcement, Veremark will also be the youngest company to use the market since its establishment.
The planned transaction follows a period of substantial expansion for Veremark, which raised $26 million (£19.27 million) in Series B financing earlier in 2026, establishing a reported enterprise valuation of $100 million. The company reported 241% year-over-year growth during the first half of 2026, following a 300% increase in its revenue run rate during 2025.
Founded in 2020, Veremark provides technology designed to help businesses verify employee identities, conduct background checks, and manage workplace compliance.
Its platform combines digital identity verification, pre-employment screening, credential verification, employee rescreening, and whistleblowing software.
The company’s services are intended to help employers manage hiring risks and maintain reliable workforce information, particularly as organizations recruit across multiple jurisdictions and increasingly rely on remote employees.
Veremark has established an international customer base of more than 8,000 clients, including OVO Energy and Schneider Electric.
The company employs more than 300 people and operates seven offices across the United Kingdom, United Arab Emirates, Singapore, United States, Australia, New Zealand, and the Philippines.
Its expansion has been supported by increasing demand for technology that allows multinational employers to conduct background checks and manage compliance requirements across different countries.
Veremark is also positioning its platform to address emerging challenges associated with artificial intelligence, including the increasing sophistication of falsified employee information, fabricated professional credentials, and misleading candidate profiles.
Its technology enables businesses to implement background screening and whistleblowing systems across international operations while maintaining centralized oversight of workforce compliance.
In addition to conducting checks on prospective employees, Veremark provides continuous monitoring and rescreening services for existing workers.
Its whistleblowing and employee reporting platform allows organizations to establish confidential channels for reporting workplace misconduct and other compliance concerns.
The planned secondary share sale represents another development in Veremark’s growth strategy, allowing existing shareholders to access liquidity while the company remains privately held.
Unlike a conventional primary fundraising round, which involves issuing new shares to raise capital for a business, a secondary transaction generally allows existing shareholders to sell some of their holdings to new investors.
The arrangement offers Veremark’s employees and early investors an opportunity to realize part of the value of their ownership interests without waiting for an IPO or acquisition.
The transaction will take place through the London Stock Exchange’s Private Securities Market, which operates under the United Kingdom’s Private Intermittent Securities and Capital Exchange System, known as PISCES.
The framework enables eligible private companies to facilitate intermittent share trading through regulated market infrastructure while maintaining their privately held status.
Transactions are conducted through an auction process that brings together eligible buyers and sellers during designated trading windows.
Beyond providing liquidity, the process can establish a market-based reference price for a private company’s shares, offering additional information to existing shareholders and prospective investors.
Crowdcube will manage employee participation and facilitate buy-side orders for Veremark’s proposed transaction.
The investment platform previously participated in the Private Securities Market transactions involving Wayve and Moneybox, facilitating activity on both the buying and selling sides.
According to Crowdcube, the addition of Veremark will bring the combined value of recent Private Securities Market transactions it has managed to more than £110 million.
Singer Capital Markets will work alongside Crowdcube as a registered auction agent on the buy side of the Veremark transaction.
Qualified retail investors will also have an opportunity to access Veremark equity through Crowdcube’s investment platform, subject to applicable eligibility requirements.
The planned transaction reflects an expanding range of liquidity options for venture-backed businesses that may not yet be ready to enter public equity markets.
For Veremark, the proposed sale would provide liquidity for employees and early investors while allowing management to continue executing its international expansion strategy.
The company has not announced that it intends to pursue a traditional public listing, and the proposed secondary sale should not be confused with an IPO.
The transaction remains planned rather than completed, and its final proceeds and transaction pricing will depend on the auction process.
