VineBrook Homes Trust has launched a tender offer to purchase up to $30 million of its Class A common stock, representing as many as 909,090 shares.
The company is offering shareholders $33 per share in cash. The tender offer is expected to expire at 5:00 p.m. Eastern Time on October 5, 2026, unless it is extended or withdrawn.
VineBrook said the tender is intended to give shareholders a limited liquidity option because its shares do not trade on a public market. Providing greater shareholder liquidity is part of the real estate investment trust’s longer-term strategic objectives.
If shareholders tender more than the maximum number of shares VineBrook is seeking to purchase, accepted shares will be subject to proration. The offer is not conditioned on a minimum number of shares being tendered, although completion is contingent on the closing of a financing and other conditions specified in the offer documents.
VineBrook’s board has approved the tender offer but is not making a recommendation to shareholders about whether they should participate.
RBC Capital Markets is serving as dealer manager for the offer, LODAS Transfer is serving as depositary and paying agent, and NexPoint Securities is serving as information agent.
