VisionWave Holdings announced a definitive agreement to acquire a controlling interest of up to 52% in Foresight Autonomous Holdings in a stock transaction valued at approximately $17.5 million, strengthening its position in AI-driven sensing technologies for defense, security, and autonomous systems.
The acquisition will integrate Foresight’s visible light, thermal, and neuromorphic sensing technologies into VisionWave’s STRATUM™ SENSE platform. The transaction follows VisionWave’s recent acquisition of the xClibre AI video intelligence portfolio, creating a multi-layered sensing architecture combining radio frequency detection, optical and thermal computer vision, and AI-powered video analytics.
According to the agreement, VisionWave will initially acquire 46% of Foresight’s outstanding shares, with the opportunity to increase ownership to 52% upon the achievement of a commercial milestone involving a pilot project utilizing the combined perception platform. In exchange, VisionWave will issue newly issued common stock valued at approximately $17.5 million, along with up to $3 million in management equity grants.
The transaction is expected to close within 45 to 60 days, subject to customary closing conditions, regulatory approvals, Nasdaq requirements, and any required shareholder approvals. Upon the initial closing, VisionWave will gain the right to appoint two directors to Foresight’s board, with a third board seat becoming available following the second stage of the transaction.
Both companies will continue operating as independent publicly traded entities. VisionWave expects the combination to provide an integrated sensing platform capable of delivering enhanced perception capabilities for unmanned systems and defense and security applications.
The combined platform will bring together VisionWave’s RF-based AI detection technologies, Foresight’s stereo and thermal camera systems, and xClibre’s AI-driven video analytics capabilities, creating a unified multi-modal sensing architecture designed to improve threat detection, classification, and situational awareness.
