Volato To Merge With Alignment Engine In $500 Million AI Infrastructure Deal With Path To 480 MW

Volato Group has entered into a definitive agreement to merge with Alignment Engine in a transaction valuing the AI infrastructure company at approximately $500 million, positioning the publicly traded company for a significant shift toward high-performance computing, artificial intelligence infrastructure and data center development.

The transaction would make Alignment Engine a central part of Volato’s future strategy while keeping Volato as the publicly traded parent company following completion.

Alignment Engine operates a powered industrial campus in Ohio with approximately 154 megawatts of available power today and a development path toward at least 480 megawatts of total capacity.

The site is being designed to support large-scale computing infrastructure, including high-performance GPU clusters used for AI model training, inference and other compute-intensive workloads.

Power availability has become one of the most important constraints facing the AI infrastructure market as developers race to secure enough electricity to support increasingly dense computing deployments.

Modern GPU-based data centers can require substantially more power than conventional enterprise data centers, particularly when thousands of accelerators are deployed together for training large artificial intelligence models.

Alignment Engine’s existing 154 megawatts of available power therefore provides an important foundation for the planned platform.

The longer-term path to at least 480 megawatts could allow the business to support substantially larger deployments if additional infrastructure is developed and customer demand materializes.

The merger would reposition Volato around those opportunities at a time when demand for AI compute capacity continues to drive investment in data centers, power infrastructure and GPU systems.

Alignment Engine’s infrastructure is intended to support both AI training and inference.

Training workloads can require enormous amounts of computing capacity for extended periods as developers build and refine large models.

Inference creates a separate source of demand once those models are deployed into production and begin processing requests from end users and enterprise applications.

As AI adoption expands, both categories are contributing to the need for additional high-density data center capacity.

The Ohio campus could also support other forms of high-performance computing beyond generative AI.

Compute-intensive workloads across scientific research, simulation, analytics and other specialized applications can require the same types of dense infrastructure, power and cooling systems used for AI.

The proposed transaction therefore gives Volato exposure to a broader digital infrastructure market rather than a single AI application.

Volato will remain the publicly traded parent following completion of the merger.

That structure gives Alignment Engine access to a public-company platform while allowing Volato shareholders to participate in the combined company’s future development.

The parties expect the merger to close shortly after execution of the definitive agreement, subject to applicable closing conditions.

The transaction represents a major strategic evolution for Volato.

The company currently develops artificial intelligence software for aviation businesses through Parslee, its autonomous-work platform, while also operating Vaunt, a private aviation marketplace.

Parslee is designed to automate workflows across aviation-related businesses, giving Volato existing exposure to enterprise AI software.

Vaunt provides another connection to the aviation sector through its private aviation marketplace.

Following the Alignment Engine merger, Volato would add a substantially larger infrastructure component to that technology strategy.

Rather than operating primarily around AI software and aviation services, the combined company would also participate directly in the physical infrastructure required to power AI workloads.

That creates potential exposure across both the application and infrastructure layers of the artificial intelligence market.

The approximately $500 million valuation assigned to Alignment Engine highlights the strategic importance of powered data center sites as AI developers and cloud providers compete for access to electricity and computing infrastructure.

One of the largest challenges facing the industry is no longer simply obtaining GPUs.

Companies must also identify locations with sufficient electricity, land, networking and cooling capacity to operate large clusters of advanced processors.

Sites with substantial power already available can therefore command significant strategic value.

Alignment Engine’s Ohio campus provides 154 megawatts of power capacity today, allowing development to begin from an established power base.

The potential expansion to at least 480 megawatts could turn the site into a much larger computing campus over time.

At full planned capacity, the campus could support a significant amount of high-performance infrastructure depending on the ultimate data center design and power density.

The deal comes as data center developers increasingly focus on locations outside the largest traditional technology markets.

Access to power can make regions with industrial infrastructure attractive for new AI computing campuses, particularly where electricity capacity can be secured more quickly than in heavily constrained data center hubs.

Ohio has increasingly attracted data center and technology infrastructure investment due to its central location, existing utility infrastructure and access to major population centers.

For Volato, the Alignment Engine merger could provide a path into this rapidly expanding market while retaining its existing AI and aviation technology assets.

The combined company would have exposure to software, digital marketplaces and large-scale computing infrastructure.

That diversification could give management multiple avenues for future growth.

At the same time, developing high-performance computing campuses is capital intensive and requires execution across power procurement, construction, equipment sourcing and customer acquisition.

The value of Alignment Engine’s platform will therefore depend partly on its ability to convert available power capacity into operating data center infrastructure and contracted customer demand.

The proposed merger gives the company a public-market platform from which to pursue that buildout.

If completed, the transaction would fundamentally change the profile of Volato Group.

The company would move from being primarily associated with aviation technology and services toward a broader AI platform with meaningful exposure to the infrastructure underpinning the artificial intelligence economy.

With 154 megawatts of power available today and a path to at least 480 megawatts, Alignment Engine provides the physical foundation for that strategy.

The approximately $500 million transaction would therefore position Volato around one of the most capital-intensive and strategically important segments of the AI market: securing and developing the power and data center capacity required to run increasingly demanding computing workloads.
