Virtual Technologies Group (VTG), an IT, security, and cloud services firm backed by Jacmel Partners, has acquired Whitlock Infrastructure Solutions (Whitlock), a software and IT services firm specializing in IT operations management for enterprise organizations. The transaction was supported with financing arranged by Brightwood Capital Advisors.

VTG said the deal expands its commercial enterprise service capabilities and strengthens its federal services expertise. Whitlock brings IT consulting and managed services offerings, as well as relationships with major software providers, that VTG expects to complement its managed IT infrastructure and cybersecurity platform.

The combined organization plans to offer end-to-end managed IT and cybersecurity services to public- and private-sector customers, including government agencies, education organizations, nonprofits, and enterprise clients across industries such as energy, manufacturing, healthcare, aerospace and defense, financial services, and technology.

Whitlock, founded in 2003 in Durham, North Carolina, operates as a software reseller and IT services firm centered on enterprise service management, analytics, operational compliance, and automation. Its offerings include ValueFirst, FirstCall, and TotalCare, as well as software partnerships with providers such as OpenText, Freshworks, Device42, Dynatrace, and Keyfactor.

VTG, founded in 1962, provides cybersecurity, infrastructure management, and IT managed services and said it serves more than 1,000 customers nationwide. Its Comm Core division supports cloud-based solutions for security, surveillance, and telecommunications.

Support: Viking Mergers & Acquisitions served as sell side M&A advisor to Whitlock. Ice Miller served as legal counsel to Jacmel and VTG, and Fox Rothschild represented Whitlock.
