Why Daida Acquired Scan-Optics

Daida announced that it has acquired Scan-Optics, a Manchester, Connecticut-based provider of intelligent document processing, managed capture services, and digital transformation solutions.

Daida is a national provider of business process services, document digitization, digital workflow, and enterprise content management services. The acquisition expands Daida’s platform across government and regulated industries, particularly in the Northeast.

The transaction marks Daida’s sixth add-on acquisition under the ownership of HiGro Group and its affiliates. It is also Daida’s second acquisition, completed in early 2026, following its acquisition of Foveonics Document Solutions in New Jersey.

Founded in 1968, Scan-Optics has built a long-standing reputation in document management and digital transformation. The company has served state and local governments, higher education institutions, financial services organizations, insurance providers, municipalities, housing authorities, and other regulated industry clients for more than 55 years.

Scan-Optics brings Daida a high-capacity production operation, significant client density across the Northeast, and an experienced sales and delivery team. The company operates a 32,000-square-foot secure production facility in Manchester, Connecticut, with the capacity to digitize up to 4 million pages per day.

Scan-Optics also brings compliance credentials important for government and regulated industry work, including SOC 2, HIPAA, and CJIS certifications. Daida said these capabilities reflect the operational sophistication, quality-assurance processes, and chain-of-custody protocols required for high-stakes document-management engagements.

The combined Daida organization now serves more than 600 state and local government clients nationally. The company said the acquisition strengthens its ability to support clients that require secure, compliant, and high-volume document management services.

Daida’s growth strategy combines organic expansion with acquisitions of established businesses in document management, enterprise content management, and services for government and regulated industries. With Foveonics and Scan-Optics now part of the platform, Daida has expanded its presence across the Northeast and Mid-Atlantic corridor while continuing to evaluate additional acquisition opportunities nationally.

The transaction was supported through a combination of cash on hand and debt financing provided by Lafayette Square. Financial terms were not disclosed. Milgrom LLP served as legal advisor to Daida, Scale LLP served as legal advisor to Scan-Optics, Polsinelli PC served as legal advisor to Lafayette Square, and Province served as advisor to the seller.
