Intellistake Technologies has entered into a definitive agreement to acquire NanoAi Technologies in an approximately C$17 million stock transaction designed to combine Intellistake’s AI infrastructure with NanoAi’s physical threat detection technology.
Under the agreement, Intellistake would acquire all outstanding NanoAi securities in exchange for 34,106,412 Intellistake shares valued at C$0.50 each. The shares are subject to performance-based vesting milestones tied to future contracts and revenue generated by NanoAi.
NanoAi has developed a portable nanotechnology-based air screening device called the NanoAi Analyzer along with standoff detection technology intended for integration into wearables, entryways, drones, and robots.
The company said its system can identify multiple distinct threats simultaneously without requiring physical contact. NanoAi has completed more than 60,000 validation tests for infection detection, with results generated in approximately 30 seconds.
Potential applications span defense, law enforcement, healthcare, aerospace, energy, infrastructure, environmental testing, and automated inspection.
The strategic rationale for Intellistake is to add a software and intelligence layer on top of NanoAi’s sensors.
Intellistake intends to apply its AI agents, retrieval-augmented generation architecture, data pipelines, and enterprise SaaS capabilities to turn sensor information into a broader multi-sensor intelligence and fleet management platform.
The company also plans to use its blockchain expertise to develop tamper-resistant data pathways that could provide a verifiable chain of custody for sensor information used in defense and law enforcement environments.
Together, the companies aim to create what Intellistake describes as an integrated “sensor-to-decision” capability, moving beyond simply detecting threats to interpreting, combining, and distributing sensor data in real time.
NanoAi founder and CEO Craig Micklich, a former U.S. Navy SEAL, is expected to join Intellistake’s board alongside another NanoAi nominee following closing.
Intellistake also plans to provide NanoAi with a US$1.3 million bridge loan carrying 10% annual interest and a one-year maturity to fund six months of corporate and development costs.
