WisdomTree: $525 Million Convertible Notes Offering To Fund Acquisition And Debt Exchange

WisdomTree announced plans to offer $525 million in convertible senior notes due 2031 in a private placement to qualified institutional buyers, with an additional option for purchasers to acquire up to $78.75 million more. The offering is subject to market conditions and other factors.

The company intends to use approximately $200 million of the proceeds to fund its previously announced acquisition of Atlantic House Holdings Limited. Remaining proceeds are expected to support exchanges of existing convertible notes and general corporate purposes, including potential repayment of outstanding debt.

The notes will be convertible into cash, shares, or a combination of both, depending on WisdomTree’s election, with conversion conditions applying prior to July 1, 2031. After that date, holders may convert at any time before maturity. The notes may also be redeemed for cash beginning in April 2028 under certain conditions.

In parallel with the offering, WisdomTree plans to negotiate exchanges of up to $75 million of its 2026 convertible notes and up to $275 million of its 2029 convertible notes. These exchanges may involve a mix of cash and equity, with final terms to be determined through negotiations with noteholders.

The company noted that certain holders of the 2029 notes may unwind hedging positions tied to WisdomTree’s stock, potentially impacting trading activity and share price volatility around the time of the offering.
