Worldwide NFT Signs LOI To Acquire Government Cybersecurity Provider RedTrace Technologies

Worldwide NFT has signed a letter of intent to acquire 100% of RedTrace Technologies, a Maryland-based cybersecurity and cyber intelligence company serving U.S. government customers.

RedTrace generates several million dollars in annual revenue and positive run-rate EBITDA, according to Worldwide NFT. The proposed transaction would represent Worldwide NFT’s first acquisition as the publicly traded company builds a strategy around acquiring operating businesses in defense, technology, manufacturing and related markets.

The transaction remains subject to due diligence, definitive documentation and other customary closing conditions. The companies currently expect it to close during the fourth quarter of 2026.

RedTrace provides cybersecurity, information technology and information operations services to commercial organizations, federal civilian agencies, the Department of Defense and the U.S. intelligence community.

Its work includes proactively identifying and mitigating cyber threats, supporting mission-critical IT infrastructure and providing program and business management services.

The company was founded and is led by Kelo Makelele, a former Army Signal Corps officer whose background includes experience with U.S. Cyber Command, the National Security Agency and the FBI.

Worldwide NFT said the acquisition would give RedTrace access to the resources and potential growth opportunities associated with becoming part of a public company.

Worldwide NFT is itself repositioning as an acquisition platform focused on established operating companies, with RedTrace serving as its proposed initial transaction.

The announced revenue and EBITDA figures remain dependent on completion of the transaction and continuation of RedTrace’s existing contracts.
