Yum China Completes $1.2 Billion Acquisition Of Pizza Hut Brand In Mainland China

Yum China Holdings has completed its $1.2 billion acquisition of ownership of the Pizza Hut brand in Mainland China from Yum! Brands. The deal was originally announced on June 16, 2026.

Yum China has operated Pizza Hut in Mainland China for 36 years and said owning the brand directly will provide greater strategic flexibility while eliminating ongoing license fee payments to Yum! Brands.

The company expects the removal of the 3% license fee to add approximately 2.8 percentage points to Pizza Hut’s restaurant margin and operating profit margin, net of value-added tax.

Yum China believes those savings should bring Pizza Hut’s restaurant margin closer to that of KFC and improve the economics of opening additional locations.

The company targets a payback period of approximately two to three years for new stores.

Following the acquisition, Yum China plans to accelerate Pizza Hut expansion in Mainland China.

For 2027 and 2028, the company now expects more than 800 net new Pizza Hut openings annually, up from its previous target of more than 600 per year.

Yum China also expects the acquisition to be accretive to diluted earnings per share.

After considering transaction-related costs, interest and financing expenses and taxes, but excluding potential incremental growth from faster Pizza Hut expansion, the company expects the deal to be slightly accretive to diluted EPS in 2026 and mid-single-digit accretive in both 2027 and 2028.

Yum China financed the acquisition with an offshore renminbi-denominated bridge loan equivalent to approximately $1.2 billion.

The bridge facility has a term of up to 12 months and carries an interest rate of approximately 2%.

For longer-term financing, Yum China said it continues to evaluate its options based on market conditions and capital requirements.

The company believes ownership of the Pizza Hut brand will also allow it to respond more quickly to changing consumer preferences and broader market opportunities in Mainland China.
