Zoetis has agreed to acquire VitalRADS, a veterinary teleradiology services platform, to expand the company’s diagnostic imaging, specialist services, and workflow technology capabilities. The financial terms of the agreement were not disclosed.
The proposed acquisition builds on a partnership between the companies announced in August 2025. By bringing VitalRADS into its Global Diagnostics portfolio, Zoetis plans to provide veterinarians with around-the-clock access to board-certified specialists through a cloud-based teleradiology platform.
Zoetis said the transaction would enhance its reference laboratory services through AI-assisted report generation, quality assurance tools, imaging services, and specialist-led clinical support. The acquisition would also advance the development of what Zoetis describes as a more comprehensive end-to-end Virtual Reference Lab.
VitalRADS provides teleradiology, mobile ultrasound, outpatient imaging, and cloud-based image storage services. Its teleradiology platform gives veterinary practices 24/7 access to board-certified specialists who review digital radiographs, electrocardiograms, CT scans, and MRI scans.
The company supports imaging for more than 25 animal species and offers same-day diagnostic results and two-hour STAT interpretation services for urgent cases. Its network includes veterinary radiologists, cardiologists, neurologists, and dentists who help clinicians evaluate conditions and develop treatment plans.
VitalRADS also operates a mobile ultrasound service in the Greater Houston and Greater Seattle areas. The service supports more than 200 veterinary clinics by performing on-site scans with portable equipment and transmitting the results for remote or on-site interpretation.
In addition, VitalRADS operates an outpatient imaging center in Cypress, Texas, that provides diagnostic imaging services for canine and feline patients.
The company’s VitalPACS platform provides cloud-based image storage through a Picture Archiving and Communication System. The technology protects veterinary images, integrates directly with medical record systems, and gives clinicians a scalable platform for maintaining continuous imaging operations.
VitalRADS serves more than 1,800 active customers, including independent veterinary practices, corporate clinic groups, and universities. It is also recognized as an American College of Veterinary Radiology-certified residency program.
Zoetis expects VitalRADS to strengthen its diagnostics ecosystem beyond traditional in-vitro testing. The company plans to combine imaging, specialist interpretation, artificial intelligence, point-of-care testing, and reference laboratory capabilities into a more integrated diagnostic offering.
The acquisition would expand the Zoetis Virtual Laboratory, an integrated support network that connects board-certified specialists with AI-powered diagnostic tools. The platform is intended to provide veterinarians with actionable information that can support faster diagnoses and more informed treatment decisions.
Zoetis’ existing diagnostic platforms include Vetscan Imagyst and Vetscan Opticell, which provide multiple testing applications at the point of care. VitalRADS would complement those products by adding specialist-led and AI-assisted imaging workflows.
VitalRADS’ technology includes tools that automatically generate draft radiology reports based on findings dictated by specialists. Its image-processing system also supports quality reviews by identifying areas in which an AI model’s interpretation differs from the findings of a veterinary radiologist.
These capabilities are supported by VitalRADS’ clinical dataset and ongoing feedback from specialists. Zoetis said the combination helps improve reporting productivity, consistency, and diagnostic quality while supporting the continued development of AI-driven clinical insights.
Zoetis plans to work with VitalRADS and its customers to support the transition following the transaction. The acquisition is expected to close during the third quarter of 2026, subject to regulatory approvals and other customary closing conditions.
Guggenheim Securities served as financial adviser to VitalRADS, while Ropes & Gray served as its legal counsel. Fenwick & West acted as legal counsel to Zoetis.
