ERShares, adviser to the ERShares Private-Public Crossover ETF, announced that XOVR has invested $30 million in Kalshi as part of the fund’s latest rebalance. The investment adds exposure to Kalshi, a federally regulated prediction market company, and represents one of XOVR’s largest private-company investments.

ECI Group, a fully integrated Atlanta-based multifamily real estate firm with more than 50 years of operating history and a portfolio of more than 7,500 units across the Southeast and Texas, has appointed Thomas Rowe as Chief Financial Officer. Rowe succeeds Ben Engel, who is retiring after a decade guiding ECI's expansion, and joins as the firm continues to scale its development, construction, investment, and property management platform nationally.

Vita Inclinata Technologies, a developer of safety, precision and operational performance products for demanding environments, has signed a non-binding letter of intent with Tavia Acquisition Corp. (Nasdaq: TAVI), a London-headquartered special purpose acquisition company, for a business combination that would result in Vita becoming a publicly traded company through a de-SPAC transaction on Nasdaq. The proposed deal values Vita at a pre-money enterprise value of $450 million, contingent on Vita successfully completing a pending strategic acquisition in the defense and industrials market.

Warburg Pincus announced that a Warburg Pincus-led investor group has agreed to acquire a controlling interest in PANTHERx Rare from Nautic Partners, General Atlantic, and The Vistria Group.

Valarian announced that it raised $50 million in Series A funding led by New Enterprise Associates, bringing the company’s total funding raised to $70 million.

Construction Partners, a vertically integrated civil infrastructure and roadway construction company operating across the Sunbelt, has completed the acquisition of Ellsworth Construction, an asphalt manufacturing and construction business headquartered in Tulsa, Oklahoma. Financial terms were not disclosed. The acquired operations will continue under the Ellsworth name as a branded division of CPI's existing Oklahoma platform company, Overland Corporation, with founder Nathan Ellsworth continuing to lead the business.

Anshar Labs announced that it acquired Dealer World, an automotive marketing and dealer solutions company. The business will operate under Drivvr AI, Anshar Labs’ automotive technology company.

White Cap, a leading North American distributor of specialty construction supplies and safety products for professional contractors, has signed a definitive agreement to acquire the business of Gierke Robinson Company, a distributor of concrete accessories, tools, equipment rentals and repair services serving concrete, paving and general contractors across Eastern Iowa, Western Illinois and Southwest Wisconsin. Financial terms were not disclosed.

Edgewise Therapeutics has completed the sale of sevasemten and its muscular dystrophy business to Servier, an independent international pharmaceutical group, for $1.55 billion in upfront cash and up to $1.1 billion in additional regulatory and commercial milestone payments, representing aggregate potential consideration of up to $2.65 billion. The transaction, advised by Centerview Partners as exclusive financial adviser and Wilson Sonsini Goodrich & Rosati as legal counsel, marks Edgewise's transition into a focused cardiovascular company with a pipeline centered on EDG-7500 for hypertrophic cardiomyopathy, EDG-15400 for heart failure with preserved ejection fraction, and EDG-003 for an undisclosed target.

Detroit City FC Holdings announced that Jay Farner, founder and CEO of Ronin Capital Partners, is making the largest single investment in the soccer club’s history through Ronin Sports & Entertainment Group. The financial terms of the investment were not disclosed.

TEGNA announced that Scott Gill has been named Vice President of Technology and Operations. In this role, Gill will oversee engineering, technology, and sports operations across TEGNA’s 64 local television stations. He will lead efforts to strengthen station performance, modernize infrastructure, and support the delivery of local journalism across broadcast, streaming, mobile, and digital platforms.

Glenfarne Group announced a $500 million investment in Texas LNG, with lead investors being investment funds and accounts managed by HPS Investment Partners, a part of BlackRock.

ReSpark announced that it completed its acquisition of UptimePM, a maintenance and facility management software platform built for heavy industrial operations. UptimePM is now a wholly owned part of ReSpark and will be rebranded as ReSpark Maintenance.

Stryten Energy announced that it signed a definitive agreement to acquire C&D Technologies and Trojan Battery Company, collectively known as C&D Trojan. The transaction is expected to create a scaled battery manufacturing and energy storage platform serving critical markets globally.

Riverview Landscapes announced that it acquired Kevin Labadini Corporation, a commercial landscaping and snow management provider headquartered in Shrewsbury, Massachusetts.

Keller Williams Realty announced an agreement to acquire the Jason Mitchell Group, a top-ranked U.S. teamerage-style independent brokerage and real estate referral and lead conversion platform.

Safety Management Group announced that it acquired CrossSafety, a Canadian health, safety, and environmental services provider. Safety Management Group is a portfolio company of Gryphon Investors.

Wynnchurch Capital announced that it has entered into a definitive agreement to sell FWI Holdings, known as FloWorks, to Ferguson Enterprises. The all-cash transaction values FloWorks at an enterprise value of approximately $1.6 billion.

Tavoron announced the acquisition of Fluidraulics, an automation component and system distributor serving customers across Pennsylvania and Ohio.

Prefect announced that it has agreed to acquire Dagster Labs, the creator of the Dagster orchestrator. The transaction brings together two major modern workflow orchestration platforms that emerged as successors to Apache Airflow.

Quadric announced the second close of its Series C financing, bringing the round to $46 million and total capital raised to $90 million. The second close was led by the International Finance Corporation, the private sector arm of the World Bank Group.

Voyager Technologies announced that it completed its acquisition of Astrobotic Technology. The close comes as NASA awarded two new lunar lander missions to the company, including an approximately $298 million task order announced on June 30.

PixVerse announced the completion of its Series C extension, bringing total Series C fundraising to $439 million. The company said the financing supports its expansion from AI video generation into games and interactive entertainment. The round was extended following continued interest from international investors and strategic partners across media, entertainment, and technology. New investors in the extension include Alibaba, Lollapalooza Capital, Ivy Capital, Grand Mount Capital, Eastern Bell Capital, Mirae Asset, BlueFocus, and CloudAlpha.

Paul, Weiss announced that Jamie McLaren will join the firm as a partner in the M&A Group within its Corporate Department. He will be based in Hong Kong.

Summitry announced that Alex Katz and Conor Wilkes have been appointed Co-CEOs of the Bay Area registered investment advisor. Katz previously served as President of Summitry, while Wilkes served as Chief Operating Officer. They succeed Colin Higgins, who is transitioning into the role of Executive Chairman after 22 years of leadership.

BakerHostetler announced that Kenneth Racowski has joined the firm’s Philadelphia office as a partner in its Litigation Practice Group. Racowski will be a member of BakerHostetler’s Antitrust and Competition and Commercial Litigation teams. He will also lead the firm’s private civil antitrust practice.
